Thank you for your interest in contributing to 🦾 Agent! and other projects published by AgentiLoop.ai, a Logos InkPen LLC company ("AgentiLoop").

Plain-English Summary (not legally binding)

  • If anything you told us in this agreement changes or turns out to be inaccurate, you agree to let us know.

Agreement

You wish to submit one or more Contributions and recognize that AgentiLoop would not accept them in the absence of this Agreement, and that Your entering into this Agreement is a condition of AgentiLoop accepting them. By submitting a Contribution, You accept and agree to the following terms and conditions (the "Agreement") for Your present and future Contributions submitted to AgentiLoop.ai, Logos InkPen LLC, or any related entity (collectively and individually, "AgentiLoop"). Except for the licenses granted herein to AgentiLoop and to recipients of software distributed or made available by AgentiLoop, You reserve all right, title, and interest in and to Your Contributions.

1. Definitions

"You" and "Your" shall mean the copyright owner, or the legal entity authorized by the copyright owner, that is making this Agreement with AgentiLoop, as well as any person making a Contribution. For legal entities, the entity making a Contribution and all other entities that control, are controlled by, or are under common control with that entity are considered to be a single Contributor. For the purposes of this definition, "control" means (i) the power, direct or indirect, to cause the direction or management of such entity, whether by contract or otherwise, (ii) ownership of fifty percent (50%) or more of the outstanding shares, or (iii) beneficial ownership of such entity.

"Contribution" shall mean Feedback (as defined below), any work of authorship, and any modifications or additions to an existing work, that is intentionally submitted by You to AgentiLoop for possible inclusion in, or documentation of, any product, service, technology, or information that is or may be created, owned, managed, or made available by or on behalf of AgentiLoop (each, a "Work"). For the purposes of this definition, "submitted" means any form of electronic, verbal, or written communication sent to AgentiLoop or its representatives, including but not limited to source code repositories, pull requests, issue trackers, discussion forums, and mailing lists that are managed by, or on behalf of, AgentiLoop for the purpose of discussing and improving a Work, but excluding communication that is conspicuously marked or otherwise designated in writing by You as "Not a Contribution."

"Feedback" means suggestions, comments, improvements, code snippets, or other information submitted to, shared with, or otherwise made available to AgentiLoop or its contributors with respect to, or in connection with, a Work.

Subject to the terms and conditions of this Agreement, You hereby grant to AgentiLoop, and to recipients of software distributed or made available by AgentiLoop, a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contributions and such derivative works, under any license terms AgentiLoop chooses, including source-available licenses (such as the PolyForm Noncommercial License 1.0.0 under which Agent! is currently distributed) and proprietary or commercial licenses.

3. Grant of Patent License

Subject to the terms and conditions of this Agreement, You hereby grant to AgentiLoop, and to recipients of software distributed or made available by AgentiLoop, a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable (except as stated in this section) patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer the Work, where such license applies only to those patent claims licensable by You that are necessarily infringed by Your Contribution(s) alone or by combination of Your Contribution(s) with the Work to which such Contribution(s) was submitted. If any entity institutes patent litigation against You or any other entity (including a cross-claim or counterclaim in a lawsuit) alleging that Your Contribution, or the Work to which You have contributed, constitutes direct or contributory patent infringement, then any patent licenses granted to that entity under this Agreement for that Contribution or Work shall terminate as of the date such litigation is filed.

4. Authority to Grant

You represent that You are legally entitled to grant the above licenses. If Your employer(s) (past or current) has rights to intellectual property that You create that includes Your Contributions, You represent that (a) You have received written permission to make Contributions on behalf of that employer, (b) Your employer has waived such rights for Your Contributions to AgentiLoop, or (c) Your employer has executed a separate Corporate Contributor License Agreement with AgentiLoop.

5. Original Work

You represent that each of Your Contributions is Your original creation (see Section 7 for submissions on behalf of others). You represent that Your Contribution submissions include complete details of any third-party license or other restriction (including, but not limited to, related patents and trademarks) of which You are personally aware and which are associated with any part of Your Contributions. This includes disclosing any portion of a Contribution that was generated by an AI or code-generation tool, together with any license terms attached to that tool's output of which You are aware.

6. No Obligation to Support; Disclaimer

You are not expected to provide support for Your Contributions, except to the extent You desire to provide support. You may provide support for free, for a fee, or not at all. Unless required by applicable law or agreed to in writing, You provide Your Contributions on an "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, either express or implied, including, without limitation, any warranties or conditions of TITLE, NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE.

7. Third-Party Work

Should You wish to submit work that is not Your original creation, You must submit it to AgentiLoop separately from any Contribution, identifying the complete details of its source (e.g., attribution) and of any license or other restriction (including, but not limited to, related patents, trademarks, and license agreements) of which You are personally aware, and conspicuously marking the work as "Submitted on behalf of a third party: [name]" prior to submitting it.

8. Notification of Changes

You agree to promptly notify AgentiLoop in writing of any facts or circumstances of which You become aware that would make any of the representations in this Agreement inaccurate in any material respect, including but not limited to any change in Your employment status or any assertion of rights by a third party over Your Contributions.

9. No Obligation to Use

AgentiLoop is under no obligation to accept, use, or include any Contribution in any Work, and may remove any Contribution from a Work at any time for any reason.

10. Trademarks

Nothing in this Agreement grants You any right to use the "AgentiLoop" or "Agent!" names, logos, or other trademarks of Logos InkPen LLC.

11. Entire Agreement; Governing Law

This Agreement constitutes the entire agreement between You and AgentiLoop concerning the subject matter hereof and supersedes all conflicting terms of any prior or contemporaneous agreements, representations, or understandings. This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina, United States of America, without regard to its conflict-of-laws principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the state or federal courts located in North Carolina, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

12. Assignment

AgentiLoop may assign this Agreement, and any rights and obligations hereunder, without Your consent in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. You may not assign this Agreement without AgentiLoop's prior written consent.

How to Sign

Signing is handled automatically on GitHub. When you open your first pull request against an AgentiLoop repository, the CLA Assistant bot will post a comment. To sign, reply to the pull request with exactly:

I have read the CLA Document and I hereby sign the CLA

Your GitHub username, the pull request number, and the timestamp are recorded in signatures/version1/cla.json. You only need to sign once; the signature covers all future pull requests to this repository. If the CLA text changes in a material way, the version number will be bumped and you will be asked to sign again.

If you are contributing on behalf of your employer, have an authorized representative open a GitHub issue or contact the maintainers to arrange a Corporate CLA before opening the pull request.
