Individual Contributor License Agreement

This Individual Contributor License Agreement ("Agreement") applies to Contributions submitted to Andrii Dryga ("Company", "we", "us", or "our") for emisar and related projects.
1. Definitions
You means the individual accepting this Agreement.
Company means Andrii Dryga.
Project means emisar and related repositories, packages, documentation, websites, services, and products owned or managed by Company.
Contribution means any original work of authorship, code, documentation, design, comment, issue, pull request, patch, test, configuration, workflow, example, suggestion, or other material that you intentionally submit to Company for inclusion in, discussion about, or improvement of the Project.
"Submit" means any form of electronic, written, or verbal communication sent to Company or its representatives, including through GitHub, email, chat, issue trackers, pull requests, forums, or other project channels, excluding material that you clearly mark in writing as "Not a Contribution."
2. Copyright License
You grant Company and recipients of software or materials distributed by Company a perpetual, worldwide, non-exclusive, royalty-free, no-charge, irrevocable copyright license to:
- reproduce;
- prepare derivative works of;
- publicly display;
- publicly perform;
- use;
- host;
- modify;
- distribute;
- sublicense;
- relicense;
- commercialize; and
- otherwise exploit
your Contributions and derivative works of your Contributions, in source or object form, under any license or terms Company chooses.
This license does not prevent you from using your own Contributions for any other purpose.
3. Patent License
You grant Company and recipients of software or materials distributed by Company a perpetual, worldwide, non-exclusive, royalty-free, no-charge, irrevocable patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer the Project and your Contributions.
This patent license applies only to patent claims that you can license and that are necessarily infringed by your Contributions alone or by combination of your Contributions with the Project as submitted.
If any entity institutes patent litigation alleging that your Contribution, the Project, or a work incorporating the Contribution infringes a patent, then any patent licenses granted to that entity under this Agreement for that Contribution terminate as of the date the litigation is filed.
4. Your Representations
You represent that:
- you are legally entitled to grant the licenses in this Agreement;
- each Contribution is your original creation or you have sufficient rights to submit it under this Agreement;
- your Contribution does not violate any third-party license, contract, employment agreement, confidentiality obligation, NDA, invention assignment agreement, law, or regulation;
- if your employer or another party may have rights in your Contribution, that party has authorized your submission or waived those rights;
- your Contribution does not intentionally include malware, backdoors, vulnerabilities, secrets, credentials, private keys, production data, or confidential information;
- your Contribution does not intentionally infringe or misappropriate any copyright, patent, trade secret, trademark, privacy right, publicity right, database right, or other right;
- you have disclosed any material AI-assisted generation if requested by Company;
- any AI-assisted Contribution was produced in a way that you are legally allowed to submit and that does not violate the Project license, third-party rights, or tool terms.
5. No Obligation
Company is not required to use, review, accept, publish, maintain, support, or distribute any Contribution.
Company may modify, reject, remove, relicense, sublicense, commercialize, or stop distributing any Contribution at any time.
6. Moral Rights
To the maximum extent permitted by law, you waive and agree not to assert any moral rights, author's rights, droit moral, integrity rights, attribution rights, or similar rights that may restrict Company's exercise of the rights granted in this Agreement.
Where waiver is not permitted, you agree not to enforce those rights against Company or recipients of software or materials distributed by Company.
7. No Warranty
Your Contributions are provided "as is," without warranties or conditions of any kind, whether express, implied, statutory, or otherwise, including warranties of title, non-infringement, merchantability, or fitness for a particular purpose.
8. Support
You are not expected to provide support for your Contributions unless you separately agree in writing.
9. Personal Information
Company may store information reasonably necessary to administer this Agreement, including your name, email address, GitHub username, company affiliation, signature metadata, and contribution history.
10. Miscellaneous
This Agreement is governed by the laws of the State of Delaware, United States of America, excluding conflict-of-law rules.
If any provision is unenforceable, the remaining provisions remain in effect.
This Agreement is the entire agreement between you and Company concerning Contributions, unless you and Company sign a separate written agreement.
11. Acceptance
You accept this Agreement by any of the following:
- opening a pull request to the Project after being presented with this Agreement (for example, via the pull-request template that links to this file);
- including a
Signed-off-by:trailer in a contributed commit (created withgit commit -s), which indicates that you have read, understood, and accept this Agreement and the Developer Certificate of Origin; - checking a CLA acknowledgement box in an approved contribution workflow;
- signing this Agreement in writing or electronically; or
- otherwise indicating assent through a workflow approved by Company.
For Contributions made through GitHub, paths (1) and (2) are the primary acceptance mechanisms โ no separate signature is required.
12. Optional Wet-Signature Block
The following block is provided for contributors who prefer to record a wet signature or whose employer requires one (for example, on behalf of an entity). It is not required for Contributions accepted under section 11.
