OpenCove Contributor License Agreement (CLA)

Thank you for contributing to OpenCove (the "Project").

This Contributor License Agreement ("Agreement") is a license grant (not a copyright assignment). You keep ownership of Your Contributions.

This Agreement is between:

  • You (the individual or legal entity making the Contribution), and
  • The Project Steward ("Steward"):

If stewardship of the Project is transferred to another person or legal entity, the term "Steward" includes that successor. You agree that the Steward may assign this Agreement, and all licenses granted under it, to a successor or assignee of the Project.

1. Definitions

"Contribution" means any original work of authorship, including any modifications or additions to an existing work, that is intentionally submitted by You to the Project for inclusion in the Project (for example, via a pull request, patch, or code review), whether submitted by You or by someone else on Your behalf.

"Work" means the Project software, documentation, and other materials to which a Contribution is submitted.

You hereby grant to the Steward and its successors and assigns a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to:

  • reproduce, prepare derivative works of, publicly display, publicly perform, and distribute Your Contribution and such derivative works; and
  • sublicense the foregoing rights, including as part of the Work and/or as part of other works, and under different license terms (including commercial/proprietary terms).

3. Patent License Grant

You hereby grant to the Steward and its successors and assigns a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable (except as stated in this section) patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer the Work and Your Contribution, where such license applies only to those patent claims licensable by You that are necessarily infringed by Your Contribution(s) alone or by combination of Your Contribution(s) with the Work to which such Contribution(s) were submitted.

If You institute patent litigation (including a cross-claim or counterclaim) alleging that the Work or a Contribution incorporated within the Work constitutes direct or contributory patent infringement, then any patent licenses granted to the Steward under this Agreement for that Work shall terminate as of the date such litigation is filed.

4. Moral Rights

To the extent permitted by applicable law, You waive and agree not to assert any moral rights (or similar rights) that You may have in or to Your Contribution, to enable the Steward and others to use, modify, and distribute the Work and Contributions as described in this Agreement.

5. Your Representations

You represent that:

  1. You are legally entitled to grant the licenses in this Agreement.
  2. Each of Your Contributions is Your original creation, or You have sufficient rights (from Your employer or any other party) to submit the Contribution and grant the licenses in this Agreement.
  3. If Your Contribution includes third-party material, You have clearly identified that material and the applicable license, and You have the right to submit it.

6. Disclaimer

Your Contributions are provided "AS IS", without warranties or conditions of any kind, either express or implied.

7. Governing Law

This Agreement shall be governed by the laws of the People's Republic of China, excluding its conflict of laws rules.

8. How This CLA Is Used

The Project may require a signed/recorded acceptance of this Agreement before a pull request can be merged (for example, via an automated CLA check on GitHub). The Project does not require retroactive signatures for contributions merged before the CLA check was enabled; this Agreement is intended to cover new Contributions going forward. The Steward may accept or reject any Contribution at their sole discretion.
