Más Bandwidth LLC Contributor Assignment Agreement

Thank you for contributing to software owned by Más Bandwidth LLC (the "Company"). This agreement sets out the terms under which the Company accepts contributions. You must agree to it before your contribution can be merged.

Please read it. If you do not agree, do not submit a contribution.

1. Definitions

"You" and "Contributor" mean the individual or legal entity that submits a Contribution.

"Contribution" means any original work of authorship, including any change, addition, or modification to existing work, that You submit to the Company for inclusion in any Más Bandwidth LLC project, in any form and by any means, including a pull request, patch, or commit.

You irrevocably assign to Más Bandwidth LLC all right, title, and interest worldwide in the copyright in Your Contribution, including the rights to reproduce, adapt, publish, distribute, and license it. To the extent any of these rights cannot be assigned by law, You grant the Company an exclusive, worldwide, royalty-free, irrevocable, perpetual, and sublicensable license to exercise all of them.

3. Licensing of Your Contribution

You agree that the Company may license and distribute Your Contribution under the license the project uses at the time (currently the Más Bandwidth Source License, the MBSL, for most Más Bandwidth libraries) and under any other license the Company chooses, now or in the future. You acknowledge that the Company may relicense the project, including Your Contribution, at its sole discretion.

4. License back to You

The Company grants back to You a non-exclusive, worldwide, royalty-free, and perpetual license to use Your own Contribution for any purpose. Assigning Your Contribution to the Company does not limit Your own use of Your own work.

5. Patent license

You grant to the Company and to everyone who receives the software a perpetual, worldwide, non-exclusive, royalty-free, and irrevocable license under any patent claims You can license that are necessarily infringed by Your Contribution alone or by the combination of Your Contribution with the project, to make, use, sell, offer to sell, import, and otherwise transfer the software.

6. Your representations

You represent that each of the following is true:

a. Each Contribution is Your original creation, or You have the right to submit it and to assign it under this agreement.

b. To the best of Your knowledge, Your Contribution does not violate the rights of any third party.

c. If Your employer has rights to intellectual property that You create, You have received permission to make the Contribution on behalf of that employer, or Your employer has waived those rights for Your Contribution.

7. Third-party material

If Your Contribution includes any work that is not Your original creation, You will identify it, its source, and its license clearly when You submit it, so the Company can decide how to handle it. That third-party material is not assigned under this agreement and stays under its own license.

8. No obligation

The Company is under no obligation to use or include Your Contribution.

9. Moral rights

To the fullest extent the law allows, You waive, and agree not to assert, any moral rights in Your Contribution against the Company or anyone the Company licenses the software to.

10. Entire agreement

This is the entire agreement about Your Contributions. It is governed by the laws of the State of New York, United States, without regard to its conflict-of-laws rules. If any part of it cannot be enforced, the rest stays in effect.


By signing, You agree to assign the copyright in Your Contributions to Más Bandwidth LLC and to have them distributed under the MBSL, on the terms above.
